Thanks for the response. Follow-up information for
clarification: General counsel for the corporation represents
shareholders, including me. As such, present counsel is
representing my interests as a shareholder and can be
construed to be my attorney. Present counsel, under direction
of the Board (the majority shareholder and one other non-
shareholder chosen by him), is indemnified, has chosen to not
indemnify me and has utilized general counsel to represent him
personally in this suit as well. Based on your statement, I
see an avenue that says that counsel's role is to represent
the best interests of the corporation. By representing the
personal interests of the other party, counsel has a conflict
of interest. ???
