Post: Unemployment Eligibility?

I recently found out that I was terminated from my company
the week prior, and that effective two weeks prior I
worked under another company name, but doing the same job
for the same company. With this change, all of my
benefits have been removed (401K, profit share, health
insurance options, pre-paid medical), and I was told that
I will need to sign an offer letter for the new position.
I am getting conflicting stories from HR and the owner of
the "new" employer on who else has been affected by this,
whether or not the change is temporary, if/when benefits
will be reinstated, etc. I also know that they were going
to lay me off, but another manager gave a case for why my
position was needed; however I have received several
comments over the past few months from my previous
supervisor about areas that are not my strength, tasks for
which I was not hired for in the first place and are
outside of my position.
I have also been asked to put together a description of
what I have been doing instead of a review for the new
company's file, since I have never been given an official
review in my two-plus years with the company. I don't
feel comfortable providing a tally of my position over the
past several months for my permanant file because my
previous supervisor had never taken the time to perform a
proper review.
If I refuse to sign the new offer letter, will I be
eligible to collect unemployment while looking for a new
position?
