Post: Software - Work for free then LLC setup

Hello,
I need advise and I am going to see a lawyer but I 'd like
to have feedbacks from you before.
To make a story short :
- July 2004 : I started working on a software on the side
night and weekend for a business. I did not have money at
that time and get paid by check or cash around 3k - 4k for
one year of work. The system went then live a year later
in July 2005
- July 2005 : We decided to market the software when it
will be ready. I work for free on the side. The business
guy promised me to create a company where we will get
50/50. He will do so after I insist only in May 2006.
We are both on the paper we file through the state for a
LLC.
- March 2006 : To go faster, I decided to manage the
project from home 3 hours a day and outsource in India. We
did so for 1 year and 3 months.
- April 2007 : I bring an intern from overseas. An
excellent prgrammer. I wanted to go faster to market the
product. I trained him and I managed the project.
But from that time, the business guy lost interest in me.
The business promised me to create the corporate book. He
never did. He never wanted to show me the books as well.
I am not talking to him anymore since december 2007
because he doesnt to show me the books.
- December 2007: I am trying hard to get investors to buy
him out. 3 investors want to move forward and put a lot of
money in the project but my business partner wants crazy
money and is blocking everything !!
I am tired of it. I worked 3 years of my life and somebody
else is getting all the credit and want to control
everything.
Also I found out today he did not file the taxes for 2006
and put the expenses on his own company to get the
deduction for the taxes. I dont even know what I should do
now for that since he told me he will take care of it (he
wanted the lost he said !). What about 2007 ??
Please HELP !!!
Thank You
Nick
