Job title: Senior Corporate Paralegal

Essential duties and responsibilities include the
following. Other duties may be assigned.
Support process for event-driven securities documentation,
including Form 8-Ks, Forms 3, 4 & 5 and documents prepared
in connection with Rule 144 sales, as well as annual and
quarterly reports;
Significant responsibility in preparation of Proxy
Statement;
Assist with preparation of other year-end documents (such
as D&O questionnaires) and manage annual shareholder
meeting process;
Maintain corporate records for public company and global
subsidiaries, including minute books, corporate filings and
general record-keeping;
Assist with preparation and distribution of Board and
Committee materials;
Assist in M&A activities, including supporting due
diligence and corporate cleanup matters, and closing
process and record-keeping;
Assist with review of Non-Disclosure Agreements and other
transactions;
Support document filing policies and procedures in legal
department;
Administer corporate policy communications and enforcement;
monitor and maintain updates to corporate policies, such as
the company’s insider trading policy and code of business
conduct; and
Assist in other special projects as assigned by department
attorneys.
Education and Experience
Bachelor’s Degree with at least 7 years of experience
California Paralegal Certificate
The ideal candidate will have at least 4 years of
experience in a major law firm as a corporate paralegal,
with additional experience in-house at a public company;
Experience supporting transactional work is desired;
High proficiency in Word and Excel.
Qualifications
Ability to work independently and manage multiple ongoing
projects in a fast-paced, dynamic environment is a must;
Strong organizational skills;
Detail oriented;
Ability to work independently and make judgments as to
priority of matters requiring attention from lawyers;
Excellent interpersonal skills and ability to interact well
with lawyers and clients; and
Must have the highest level of integrity and business
ethics.
