The General Vendor Contracts Legal Group seeks an attorney, skilled in contract drafting and negotiations, to provide comprehensive, timely and first rate legal services to Prudential’s domestic businesses and affiliated companies in connection with providing legal support and services on contractual matters for the acquisition of services for Prudential domestic employee benefit plans and services and other related employee benefit and pension contractual matters. Under the supervision of the senior attorney managing the group, the attorney will on a broad range of consulting, health care provider, and outsourcing agreements and provide legal counsel on contract related issues, strategies and corporate policies.
The Corporate Counsel will work independently on routine transactions, such as group provider agreements with health maintenance organizations; claims audit agreements, non-disclosure agreements, and engagement schedules and statements of work under master service agreements. The Corporate Counsel will coordinate input regarding ERISA and other pension related matters from Prudential’s Employee Benefits counsel on all contractual transactions involving Prudential’s employee benefit plans. Additionally, the Corporate Counsel will, under a more senior attorney’s supervision, provide client advice on transactions and handle more complex and sophisticated transactions, such as negotiating and drafting various outsourcing agreements, health insurance administrative services agreements and related contracts and amendments. The Corporate Counsel will also review and analyze requests for proposals, assist in management of outside business consultants and legal counsel, have responsibility for post-execution contract management and administration, provide legal assistance in connection with company-wide or large scale business unit initiatives that relate to employee benefits and health care (for example, contract review and analysis of health care law contracting issues inherent in employee benefits transactions or due to privacy or data security law updates) as well as projects related to various other vendor related transactions. The Corporate Counsel will be required to take responsibility for protecting the interests of Prudential and its employee benefit plans and for consolidating and exercising the buying power of the corporation through aggressive negotiation and enforcement of agreed upon pricing structures.
Required Skills & Experience:
Candidate should understand the needs, demands and requirements of business and corporate groups and requires an individual with good working knowledge of corporate and employee benefits transactions. The position requires a project-oriented, self starter who possess strong analytical, negotiation, organizational, interpersonal and communications skills. Requires ability to negotiate and draft contracts for acquisition of employee benefits services including the ability to construct business and financial terms of transactions in addition to legal terms. Requires ability to turn-around contracts and documents accurately and in a prompt and timely fashion
REQUIREMENTS
· J.D.
· BA/B.S. degree
· 2 or more years legal experience, preferably in a transaction-based practice with a law firm or corporation
· Experience with health administration services and related employee benefits contracts is preferable
· The candidate should have strong project management and organization skills
· The candidate will be required to skillfully draft documents and revise agreements based on business deal parameters
· The candidate will be required to balance multiple projects simultaneously, always moving projects forward and keeping General Vendor Contracts Law staff, Employee Benefits Law and relevant Business Units advised of status
· The candidate must have excellent written and oral communications, work well with attorneys and business personnel, and be able to effectively communicate to explain legal risks and in order
· The candidate must be able to work in a high volume, fast paced environment
· The candidate must have the ability to identify, analyze and summarize contract terms and conditions and contract issues
· The candidate should have expertise and extensive experience working with Microsoft Word, Excel and Lotus Notes.
