The attorney in this position will be responsible for handling a full range of legal matters that arise in connection with the issuance, administration and management of annuities offered by Prudential Annuities and with securities law, and insurance regulatory matters for the development, creation, offering and sale of annuity products. The attorney will be primarily responsible for providing legal advice related to the development of annuity products, legal research on all matters involving the annuity business, drafting memorandum of laws, composing letters to regulators, providing legal support in connection with any regulatory examinations, filing of variable annuity registration statements with the Securities and Exchange Commission and any other assignment as requested.

Primary Duties and Responsibilities

• Providing legal and regulatory advice to Prudential Annuities and related business groups in their capacity as issuer of annuities and in the ongoing administration and management of the annuity business.
• Draft prospectus language and to efficiently create or update numerous registration statements and to provide support on annuities product matters that arise in connection with annuity products.
• Provide assistance in executing legal transactions and for securing, preparing, drafting and processing legal documents and undertaking legal research and other special projects on a variety of annuity matters, including regulatory, product development, product distribution, underwriting, customer issues and corporate licensing.
• Assisting in the creation and introduction of annuities, as well as modifications to existing products and services relative to state regulatory, operational and administrative aspects.
• Drafting contracts, memoranda and other documentation relating to the creation, development, offering/distribution of annuities products by Prudential Annuities and related business groups.
• Reviewing and providing advice on advertising, sales literature, and customer communications as related to state regulatory, operational and administrative aspects of the annuity business.
• Coordinating with the Compliance Department and Risk Management to provide legal analysis and advice in connection with the development of procedures, the resolution of potential compliance issues and the conduct of regulatory examinations.
• Keeping senior management and other personnel apprised of pertinent legal and regulatory developments.
• Performing special projects as assigned by Senior Annuities lawyers.
• Assisting with legal review of periodic reports filed by Prudential Annuities under the Securities Exchange Act of 1934.

Required Skills & Experience

• The successful candidate should have excellent organizational skills, experience with SEC filings under the Investment Company Act of 1940 and the Securities Act of 1933 and current ability to make filings through the SEC’s Edgar system.
• Also, the successful candidate should have 0-5 years of corporate, law firm, in-house and/or regulatory legal experience involving corporate matters, legal research, securities laws, state insurance and other laws and regulations applicable to the annuities and/or life insurance business.
• Experience involving state insurance laws and regulations, NASD/FINRA rules, tax laws, the Investment Company Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934 and the rules and regulations there-under, as applicable to annuities, is desirable.
