The Office of the Corporate Secretary has a vacancy for a Subsidiary Governance Specialist to support its Subsidiary Governance function. The Department is responsible for providing excellent customer focused service to Prudential shareholders and policyholders who bring issues to the attention of the Chairman through its Chairman’s Response Team; coordinating all board and committee meetings, information flow, records and interactions among the Board of Directors, its committees, and senior management; subsidiary governance, including record keeping, minutes and other research, drafting of the proxy statement, certifications, etc.

Primary responsibilities may include, but not be limited to, the following:

. Maintenance the data integrity of the on-line subsidiary governance database;
. Oversee the maintenance of the Subsidiary Handbook and document standard operating procedures and templates for subsidiary governance matters to be utilized across the Company;
. Facilitate the production and maintenance of all official documentation (e.g. minute books, resolutions, unanimous consents, certifications, etc.) for all domestic subsidiaries ensuring that all corporate actions are accurately and timely recorded in the subsidiary governance system;
. Liason with international contacts to facilitate the production and maintenance of all official documentation for international subsidiaries as needed and ensuring that all corporate actions are accurately and timely recorded in the subsidiary governance system;
. Partner with Treasurer’s, Controller’s, Tax, Compliance, Law and other Business Partners to ensure accurate record keeping, monitoring and reporting on subsidiary matters;
. Partner with external vendors to facilitate and support subsidiary matters;
. Effectively and timely facilitate the subsidiary data audit process;
. Support the activities of the Financial Controls Council and the Legal Entity Management Committee as they relate to subsidiary governance activities;
. Act as the Database Administrator for the subsidiary governance system;
. Liason with internal and external systems support to maintain the subsidiary governance system;
. Provide assistance to the Corporate Secretary on Board and Committee administration matters as directed; and
. Providing timely and accurate support on the completion of research requests as assigned through the Secretary’s Department Request Database including, but not limited to: historical and current research of Board and Committee minutes, review and update Regulatory Filings, assist in compiling information for ad hoc reports, etc.

JOB REQUIREMENTS: .
A Bachelor’s Degree, 2 to 4 years of paralegal experience and 2+ years of related experience in a Corporate Secretary’s Department;
. Working knowledge of Prudential’s complex subsidiary structure and subsidiary record keeping as well as corporate and regulatory filing requirements;
. Working knowledge of Prudential’s corporate documents, policies and procedures related to legal entity management;
. Working knowledge of the Enterprise and its businesses;
. Advanced level of customer service skills with the ability to handle difficult and demanding customers;
. Ability to partner with internal and external customers, partners and peers;
. Excellent interpersonal skills, initiative, dependability, and a high level of motivation;
. Excellent organizational skills, strong proofreading capabilities, and attention to detail;
. Professional demeanor, ability to multi-task, work independently with little supervision and under tight time constraints;
. An astute sense of diplomacy, tact, discretion, and ability to handle confidential information;
. Strong analytical skills;
. Ability to convey information completely, accurately, and succinctly through effective oral and written means;
. Must be a team player;
. Proficiency with Prudential’s standard software (e.g. Lotus Notes, Word, Excel);
. Willingness to learn new technology and responsibilities as the need arises; and
. Demonstrate good judgment and a sense of humor.
