Department/Area Function:
The General Counsel's Office is responsible for: (1) identifying and resolving all legal and regulatory issues relating to the activities and status of all DTCC entities, including DTC, NSCC, and FICC; (2) assigning work to, and managing, outside counsel; and (3) overseeing DTCC's Corporate Secretary's Office, the Office of Corporate and Regulatory Compliance (OCRC) and Labor Relations Department.
Position Summary:
Provide legal and regulatory advice and guidance to assigned operating areas.
Principal Responsibilities:
* Operate independently as legal counsel to assigned operating areas of subsidiaries and parent company: giving legal advice, assuming responsibility for regulatory aspects, coordinating projects with legal implications across operating areas, drafting and negotiating agreements and other documents, structuring arrangements to protect legal interests and maintain operations within scope established by laws and policies established by senior management;
* Represent DTCC and DTC interests in industry initiatives and projects, may coordinate among counsel representing industry members;
* Supervise outside counsel in assigned areas and projects;
* Represent DTCC and DTC, in negotiating with foreign senior government officials;
* Represent DTCC on industry committees.
Experience:
7+ years of experience at top rated law firm, regulatory agency or similar experience since admission to the Bar.
Knowledge and Skills Required:
* Strong knowledge of DTCC and DTC systems, products, procedures, rules and the industry.
* Excellent analytical and communication skills.
* Demonstrated ability to work on cross-functional project teams.
Education, Training &/or Certification:
Juris Doctorate, Admission to New York Bar
