The attorney in this position will be responsible for handling a full range of legal matters that arise in connection with Prudential Bache Asset Management, Inc. (“PBAM”), a registered Investment Adviser (“IA”), Commodity Trading Advisor (“CTA”) and Commodity Pool Operator (“CPO”). The position involves counseling on a variety of legal, regulatory and general corporate matters.

The candidate must have a minimum of five years of sophisticated law firm, in-house and/or regulatory legal experience involving the Investment Advisers Act of 1940 and the rules and regulations thereunder, Part 4 of the Commodity Exchange Act and the rules and regulations thereunder, and the rules and interpretations of the National Futures Association that pertain to CTAs/CPOs. Familarity with the Investment Company Act of 1940, the Securities Exchange Act of 1934 and ERISA is a plus.

Individual contributor attorney who may also possess supervisory responsibilities over legal and non-legal staff and regularly: Provides legal advice without the supervision of a more senior attorney, Handles complex work assgnments, Has substantial client contact.

Required Skills & Experience:
• Provide legal advice and draft disclosure in connection with the maintenance and updating of PBAM’s Form ADV, Form 7R other regulatory filings.
• Review and provide legal advice on institutional marketing materials and management’s responses to requests-for-proposals (“RFPs”).
• Negotiate client account documentation.
• Negotiate investment advisory agreements.
• Provide legal advice with respect to structure, development and distribution of new products and investment vehicles, such as private funds, business trusts and index-linked notes. Responsibilities will include drafting formation documents, subscription materials and regulatory filings, and negotiating investment management, brokerage, distribution and related administrative agreements.
• Counsel business principals with regard to ongoing operational issues, including conflict of interest management, disclosure matters, performance reporting, fee waivers and redemption transactions.
• Research and provide legal advice with respect to foreign securities laws.
• Represent PBAM in connection with inquiries, investigations or regulatory proceedings which may arise.
• Draft and negotiate agreements and other documents relating to solicitation arrangements and third party vendor services.
• Coordinate with the Compliance Department to provide legal analysis and advice in connection with the development of procedures, the resolution of potential compliance issues and the conduct of regulatory examinations.
• Keep senior management and other personnel apprised of pertinent legal and regulatory developments.
• Perform special projects as assigned by the Senior Counsel, Global Commodities.
