About the Sr. Corporate Paralegal Opportunity
The ideal candidate will have a minimum of three to five years as a corporate paralegal in a major law firm assisting both public and private companies with their corporate, securities and M&A matters and with the skills and experience described below.
Subsequent experience as an in-house corporate paralegal at a public company would be greatly desirable but not required. The candidate should also be a high-energy, self-starting personality who can manage multiple projects simultaneously and get them done effectively. Ability to work effectively in a fast-paced environment as a team member and with various teams, as well as with domestic and foreign outside counsel and service providers, is a must.
The Sr. Corporate Paralegal will be responsible for
• Corporate maintenance of InfoSpace, Inc.’s various domestic and international subsidiaries, including minute books, capitalization, state qualification and other regulatory filings, the formation and dissolution of subsidiaries as needed, as well as assisting our General Counsel with maintenance, securities and general corporate matters related to InfoSpace, Inc.
• Administration of InfoSpace equity plans, including preparing various equity grant documents, distributing them to the grantees, maintaining records, preparing various reports, managing the equity programs through our in-house equity plan management program, preparing and filing required reporting forms for executives and directors with respect to equity grants with the SEC, and being the primary liaison with the brokers with whom we work to issue and track equity grants. You will also work closely with the General Counsel and other legal team members to organize, prepare and review transactional and due diligence documents in connection with M&A transactions.
• Other duties include working as a member of the legal team and with other teams to provide general legal and administrative support.
Required Skills, Education & Experience
• 3-5 years of law firm experience as a corporate paralegal with a broad range of related duties, including corporate maintenance, drafting of resolutions and minutes, preparation and filing of annual state reports and other similar regulatory filings, maintenance of stock records, preparation of Section 16 forms and Rule 144 opinions, and equity plan administration.
• Basic understanding of various forms of securities, such as shares of stock, warrants, convertible notes, stock option grants and restricted stock units, as well as some familiarity of corporate and securities laws.
• High level of MS Word and Excel skills.
• Strong organizational and time management skills with ability to multi-task
• Excellent written and oral communication skills.
• Ability to work effectively with various other teams in fast-paced environment.
• High energy, self-motivated and detail-oriented.
