The General Counsel's Office is responsible for: (1) identifying and resolving all legal and regulatory issues relating to the activities and status of all DTCC entities, including DTC, NSCC, and FICC; (2) assigning work to, and managing, outside counsel; and (3) overseeing DTCC's Corporate Secretary's Office, the Office of Corporate and Regulatory Compliance (OCRC).
Position Summary
Under periodic supervision, conduct legal and regulatory activities pertaining to DTCC entities.
Principal Responsibilities
? Legal
· Prepare and review contracts with vendors, industry participants, and others.
· Provide counsel to operating areas, including coordinating projects with legal implications across operating areas.
· Handle corporate, securities, regulatory, and other legal issues, including structuring the legal aspects of new products.
· Participate on legal project teams.
· Assist in handling legal aspects of initiatives and relations with other clearing corporations, self-regulatory organizations, and the Uniform Clearing Group.
· Represent DTCC and its subsidiaries at industry conferences, including giving presentations/speeches.
· Draft new membership documentation to reflect new DTCC services and products.
? Regulatory
· Prepare filings, “no-action requests”, and other correspondence and documentation required by the Securities and Exchange Commission and other regulators; communicate with regulators and handle questions by regulators on clearing agency submissions.
· Monitor statutory and regulatory developments potentially impacting the clearing corporations and other entities within the DTCC structure..
? Handle Legal Matters relating to DTCC's Southern Business Center
· Handle day-to-day legal matters arising at or with respect to SBC.
· Monitor Florida state legislation that might impact DTCC’s operation’s .
· Provide general legal support for in-house counsel issues (i.e., employment related or property related issues).
Experience
· 3+ years experience in a legal department, law firm, regulatory agency or similar experience since admission to the Bar.
Knowledge and Skills Required
· Contract drafting and negotiation experience.
· Knowledge of clearing agency systems, products, procedures, rules and the industry.
· Good analytical and communication skills.
