OVERALL RESPONSIBILITIES
The Contract Officer will monitor web advertising revenue contracts through quality controls, exemplary customer service and superior communications by
• Implement and Monitor compliance of contractual policies and standards to meet Company’s competitive business requirements.
• Participate in the creation and implementation of contractual instruments that account for Operational, Financial and Inventory aspects of Web advertising Contracts.
• Negotiate and make accurate, professional decisions on a range of contract issues including, but not limited to, legal protection for Company and protecting the integrity of the business process for Company where these issues have the potential to adversely affect Company’s financial, legal and business processes, positions, performance and accountability.
• Coordinate and communicate processes and general information for new and existing products to ensure contractual quality control.
• Responsible for registration and protection of company domain names.
• Manage advertising vendors and systems contracts.
• Develop processes to ensure timely, accurate and streamlined contract review processes.

SPECIFIC RESPONSIBILITIES
• Insertion Orders/Contracts – Review, negotiate and sign all Web advertising contract terms and conditions and product guarantees. Manage any discrepancies and compliance with processes, procedures, policies and audit controls.
• Negotiate terms and conditions with TWCi advertisers, agencies and vendors.
• Work with TWCi’s counsel to develop ongoing product addendums and contract riders.
• Communicate special terms and the impact to implementation, reporting, revenue recognition, inventory, credit and collections.
• Identify contracting inadequacies and issues, propose alternatives and effective, efficient solutions. Manage negotiations and communications to external customers through Order Confirmation Letters and Reconciliation of terms.
• Manage Contract cancellations to ensure compliance with Terms and Conditions.
• Process Knowledge – Understand all products, platforms, processes and Terms of Additional Services. Create and Maintain centrally located Process Guidelines.
• Contracts – Coordinate negotiations and administration of contracts pertaining to ad operations vendors, systems and software. Assist Senior Counsel with updating TRUSTe License Agreement, TRUSTe certification and other vendor Agreements.
• Assist legal staff on other matters as available
• Training – Educate Ad Operations and Ad Sales new hires on contract management by maintaining best practice materials and contract training documentation.
• Industry – Represent TWCC on industry groups

QUALIFICATIONS
A. Knowledge
• Bachelor’s degree in Marketing, Communication, or Business with 3-5 years of contract negotiations experience preferred and a working knowledge of computer applications for word processing and spread sheets.
• Strong background in contract review, negotiations and paralegal experience preferred.
•Understanding of Web advertising and the ability to explain and knowledge of Web advertising trends and technologies.
• Understanding of contract, business, legal, financial and audit process as it relates to industry and Web advertising contracts.


B. Skills
• Ability to communicate with persons with various levels of knowledge and understanding of Web advertising contracts as well as the ability prepare legal and process documentation.
• Ability to work under pressure with frequent interruptions as well as meeting deadlines in a
fast paced environment.
• Ability to respond proactively to contract preparations in order to meet both company and
customer needs including but not limited to legal protections and process efficiency.
• Must have well-developed problem solving, critical thinking, analytical and leadership skills.
• Strong interpersonal and negotiation skills that lead to satisfactory solutions for both internal and external customers.
• Ability to prioritize workload.
