    I am getting ready to start a Limited Liability Company as
    the vehicle for producing a feature film. I have searched
    dozens of books on the subject, but one thing is still
    unclear to me:

    Can I offer profit participation to investors without
    offering "member" status? Can I offer the investment as a
    security alone?
