While I can not specifically answer your question, I will
tell you that at least in New York, you will have to
register or qualify a foreign (out of State) corporation
before you start doing business within the State. Not
registering to do business in the State may affect your
ability to bring law suits in the state and may expose you
to fines. While I can not comment on California law,
contact the office of Secretary of State (or equivalent in
CA).
